AGREEMENT

Provisions of this Agreement represent the offer of MAKSATICS Ltd

for the provision of services for the arrangement of children’s leisure in Cyprus.

From the 30th of July to the 13th of August 2022 — The First term;
From the 14^th of August to the 28th of August 2022 — The Second term.

1. Basic Terms and Definitions
   1. Organiser — MAKSATICS Ltd, which provides services for children’s leisure in Cyprus.
   2. Client — any individual who accepts this Agreement, acting in the interests of a minor legal representative (parent, guardian, custodian of a minor) or a person acting under power of attorney issued by a legal representative of a minor).
   3. Participant — a minor aged 11 to 17 years, indicated by the Client in the registration form (Application).
   4. Dates and location of leisure:

1.4.1 First term — from the 30th of July to the 13th of August 2022 and the Second term from the 14^th of August to the 28th of August 2022, address of the venue is Latchi Family Resort 4*, Akamantos Avenue, Polis, 8820, Cyprus, hereafter (Venue).
1.5. Services provided by the Organiser, for the leisure of participants, include:
1.5.1. Accommodation arrangements at the hotel «Latchi Family Resort 4*«, by 2 people in the room with the full board meal each day.
1.5.2 Entertainment programmes for Participants related to film production (hereinafter — the Programme), including, in particular:
— activities developed by the Organiser,
— game-based sports, educational games, art workshops, music and dance classes, staging of performances;
— sightseeing and entertainment programme once a week;
— holding of a final gala-evening with the presentation of films made by Participants and Awards at the end of the Programme;
— daily posts on social media.
1.5.3. Visa support cover letter for Cyprus e-visas for Participants if necessary.
1.5.4. Accompanying Group of Participants from the point of departures at extra cost if needed.
1.5.5. Transfer the group of children from Larnaka/Pafos/ Ercan International Airport (Nicosia) to the Venue on the dates of arrival on the 30th of July and the 13th of August and departure on the 14th of August and the 28th of August from Venue to Larnaka/Pafos/ Ercan International Airport (Nicosia) at an extra cost per person on demand.

1.5.6 Organise an individual transfer and escort of participants from Cyprus Airport (if necessary), at extra cost.
1.6. The duration of the leisure for term 1 and term 2 is 14 days each. The first day starts at 3 PM at Venue and ends at 10 AM at the place of Venue.

 

2. General Provisions

2.1. This Agreement provides for the terms, conditions, and procedures for the provision of paid Services by the Organiser in regard to the arrangement of children’s leisure in «Latchi Family Resort» (Cyprus), as well as the obligations of the Organiser and the Client arising under this Agreement.
2.2. Services are provided only in accordance with the terms and conditions set forth herein in the event of their full and unconditional acceptance.
2.3. This Agreement shall enter into force and shall be deemed concluded from the moment of its acceptance by the Client, which is confirmed by completing the registration form (Application) on the website www.maksatics.camp, approved by the Organiser and making 100% deposit of the cost of Services by the Client, according to pp. 5.1-5.4 of this agreement.
2.4. Application on the website www.maksatics.camp by the Client shall be deemed to be unconditional acceptance of the terms and conditions of this Agreement.
2.5. This Agreement shall remain in force until the complete performance by the Parties of all obligations.

 

3. Scope of the Agreement

3.1. The Organiser undertakes to deliver to the Participant(s) the Services under the Term N1 or N2 to be chosen by the Client in the registration form (Application) in accordance with the terms and conditions set forth herein after the full payment for Services by the Client.
3.2. To obtain the Services, the Client shall:

• complete the application form online for each Participant at www.maksatics.camp;
• agree with the terms and conditions of the Agreement;
• provide the Organiser with all the necessary documents for the Participant(s) Medical form and Consent letter upon arrival;
• make the payment within the deadlines and under the procedure set forth herein;
• to apply for e-Cyprus visa use the link below:

• provide a statement signed by both parents and stamped by the mayor of the area;
• fulfil all legal procedures to entry to Cyprus from the country of participant destination according to the Covid protocol;
• provide a negative PCR test and print a copy 72 hours before the departure, if needed;
• to cover the fees for Cyprus PCR test for participants on arrival and prior departures, where it is necessary;

3.3. The cost of Services shall be determined by the Organiser in its sole discretion in euros without right of appeal as indicated on the website.

 

4. Application Execution Procedure

4.1. To obtain the Services the Client shall complete the Application form on the website for each Participant sent to participate at Maksatics Ltd at «Latchi Family Resort» in Cyprus.
4.2. The Organiser shall not be responsible for the accuracy and the correctness of information provided by the Client when completing the Application. form.
4.3. The Organiser shall not be responsible for non-compliance with the rules for entry to Cyprus neither for the preparation of the printed form to enter the country.

 

5. Cost of Services and Settlement Procedure

5.1. The cost of Services is 2150 (two thousand one hundred fifty) Euros for each term.
5.2. The cost of extra services:

• Cost of extra night of accommodation in «Latchi Family Resort» hotel, 100 Euro per night per child with full board meal.
• Cost of PCR test on arrival and departure to Cyprus, if necessary.
• Cost of group or individual transfer from the Cyprus airports of arrival and departure, about 25-40 Euro per person both ways, depends on the airport, and cost of transfer charged by the third parties in August. (Subject of negotiation).
• Cost of travel insurance for the period of travelling to Cyprus.

5.3. DISCOUNTS: Organiser provides a discount of 5% for Participants for the second visit to the foreign campus of Maksatics Ltd, and 5% discount for siblings.
5.4. The procedure of payment for Services:
5.4.1. Within fourteen (14) business days after the confirmation of the Application, the Client is obliged to pay the full cost of Services in accordance with the selected Programme.
5.4.2. In the case of failure to pay the full amount on time and in the amount specified in para. 5.2-5.4 above, the Application shall be cancelled.
5.5. The Organiser shall have right to unilaterally withdraw from the provision of Services if the Customer fails to pay the full cost of Services in a timely manner.
5.6. Payment for the Services shall be made by the Client by transferring money to the bank account of MAKSATICS Ltd (payment shall be made in EUROS or Sterling pounds and an additional 5% to compensate for the fluctuation in the exchange rate on the date of the transaction.

 

6. Rights and Obligations of the Parties

6.1. The Organiser undertakes:
6.1.1. To ensure the complete performance of all obligations towards the Client under the terms and conditions hereof.
6.1.2 If the Participant detects a COVID-19 infection during the shift, we ensure the immediate isolation of the Participant from the moment the disease is confirmed for a period of 14 calendar days or until the arrival of legal representatives (parents, guardians). At the same time, if the child is required to attend an in-patient treatment at a medical institution in Cyprus, the provision of medical services and the organisation of medical nutrition is carried out in accordance with the medical insurance contract or at the expense of the legal representative of the child.
6.2. To unilaterally amend this Agreement, adjust the cost of Services, performance of their delivery by publishing such changes on the website. All changes shall take effect immediately after their publication and shall be deemed to have been brought to the Client’s attention from the date of such publication.
6.2.1. Prior to the provision of Services to require the Client to make 100% prepayment for the Services.
6.2.2. To unilaterally cancel the Application in case if the Client fails to pay for the cost of booking of Services in due time.
6.2.3. To Cancel the Term by any force majeure circumstances (for example, pandemic, lockdowns, and Covid-19 positive test within 72 days before arrivals, EU participation in hostilities, the closure of airspace over Cyprus and Europe, sanctions) and refund the cost of booking transferred by the Client within 30 days of cancellation the terms, deducting the cost of bank transfer.
6.2.4. To unilaterally withdraw from the provision of Services if the Client fails to pay the full cost of Services in due time, as well as in other cases provided for in this Agreement.
6.2.5. To send the Client messages of promotional nature by e-mail and SMS-mailings with information on discounts, promotions, etc.
6.2.6. Process and retain the Client’s personal data, ensuring their confidentiality and in accordance with GDPR.
6.3. The Customer shall:
6.3.1. Provide the Organiser with all information necessary and sufficient for the provision of Services.
6.3.2. Pay the cost of booking and the full cost of Services in the amount, within the deadlines and in the manner provided for in this Agreement.
6.3.3. Inform the Participant of the rules of stay at «Latchi Family Resort», as well as of the consequences of their violation.
6.4. The Customer shall have the right:
6.4.1. To familiarize themselves with the rules of the stay at «Latchi Family Resort», and the cost of services provided by the hotel.
6.4.2. To unsubscribe from messages of promotional nature.
6.4.3. At any time decline the Services.
6.4.4. If the Participant detects a COVID-19 infection while the Participant is at «Latchi Family Resort» in Cyprus, the Customer has the right to terminate the Agreement for the provision of services for organising children’s recreation, while the Organiser does not compensate for the payment for the services of the Agreement for the rest of the days of Term.

 

7. Liability of the Parties

7.1. For non-performance or improper performance of obligations hereunder the Parties shall be liable in accordance with the laws of United Kingdom.
7.2. The Organiser shall be responsible for the well-being of the Participant during the stay at «Latchi Family Resort» in Polis.
7.3. For the violation of rules of stay at «Latchi Family Resort» by the Participant, the Organiser may exclude the Participant and terminate the Services without repayment of their cost.

 

8. Liability Disclaimer

8.1. The Organiser shall have the right to unilaterally withdraw from the provision of Services if the Participant has a disease that requires special responsibility and non-standard conditions of care for such Participant. In this case the Organiser shall repay the Client the monies net of expenses actually incurred, and the cost of Services provided prior to the Agreement termination date excluding pp 6.4.4.
8.2. The Client shall have the right to unilaterally decline the Services without giving any reason for such refusal, and in such case the monies paid for the Services shall be returned by the Organiser under the following procedure:
— up to 95% of the cost of Services in case of receipt of a written notice of the decline of Services no later than 45 days prior to the commencement of Services;
— up to 70% of the cost of Services in case of receipt of a written notice of the decline of Services later than 45 days prior to the commencement of Services.
8.3. In case of the decline of Services within the period of up to five (5) calendar days prior to the commencement of Services, the cost of Services is not refunded.
8.4. In case of occurrence of force majeure (documented circumstances beyond the Client’s control), the Organiser shall be obliged to return the Client the monies paid by the latter net of the cost of transaction services equal to 5% of the amount refunded.
8.5. In case of decline by the Client (Participant) of Services after the commencement of Programme and in the event of early termination of stay of the Participant «Latchi Family Resort«, the cost of Services is not refunded and shall be a compensation of Organiser’s costs for preparation and implementation of the Programme.
8.6. The Organiser shall not be responsible for any other expenses incurred by the Client in relation to the execution of the Participant’s documents, except those provided for in this Agreement and included in the cost of Services.
8.7. The Organiser shall not be responsible for cash and other material valuables of Participants.

 

9. Other Conditions

9.1. By accepting the terms and conditions of this Agreement, the Client agrees that the rights of the Participant to photos and videos made during the Programme at «Latchi Family Resort» in Cyprus, belong to the Organiser and may be used for marketing and educational purposes.
9.2. If a child is diagnosed with a coronavirus infection, the Customer confirms his consent to temporary hospitalisation (isolation) of the minor for medical reasons in a medical organisation located outside the «Latchi Family Resort» in Cyprus for the provision of primary health care and specialized medical care.
